The ideal candidate will provide strategic legal advice, ensure regulatory compliance, and manage corporate secretarial functions to support the Board and senior management in achieving the company’s strategic objectives.
What You'll Be Doing:
- Legal Leadership:
- Provide strategic legal counsel to the Board, executive team, and business units to mitigate risks and support decision-making.
- Draft, review, and negotiate complex contracts, agreements, and other legal documents to safeguard the company’s interests.
- Ensure compliance with all applicable laws, regulations, and industry standards, including corporate, commercial, labor, and financial laws.
- Manage litigation, disputes, and claims, coordinating with external counsel as necessary.
- Monitor legal trends, regulatory changes, and emerging risks, and recommend proactive measures to mitigate potential impacts.
- Corporate Governance:
- Serve as the primary point of contact for the Board of Directors on governance matters.
- Oversee the preparation of Board meeting agendas, minutes, and resolutions, ensuring timely and accurate documentation.
- Advise the Board and senior management on corporate governance principles, regulatory requirements, and best practices.
- Ensure adherence to company policies, charters, and the code of conduct.
- Compliance Management:
- Develop and implement a robust compliance framework to ensure regulatory adherence.
- Conduct regular audits and reviews to identify and address compliance gaps.
- Serve as a liaison with regulators, auditors, and other external stakeholders on compliance-related matters.
- Team Leadership:
- Lead and manage the legal and compliance teams, fostering a culture of excellence, collaboration, and continuous improvement.
- Develop and mentor team members, ensuring they have the necessary skills and resources to excel in their roles.
- Manage departmental budgets, resources, and priorities effectively.
Who We're Looking For:
- A trendsetter with a Bachelor’s Degree in law (LLB) is required; a Master’s Degree or professional certification (e.g., ICSA, ACIS) is an added advantage.
- Admission to the Bar and current license to practice law.
- Minimum of 10 years of relevant experience in corporate legal and compliance roles, with at least 5 years in a leadership capacity.
- Extensive knowledge of corporate governance, company law, regulatory compliance, and commercial law.
- Proven track record in advising senior leadership and managing legal risks in a corporate environment.
